ARTICLES OF FAITH
1. GOD
There is but one God, the Maker, Preserver, and Ruler of all things, having in and of Himself all Perfections, and being infinite in them all; and to Him all creatures owe the highest love, reverence, and obedience.
2. THE TRINITY
God is revealed to us as Father, Son, and Holy Spirit, each with distinct personal attributes, but without division of nature, essence, or being.
3. THE SCRIPTURES
The Scriptures of the Old and New Testaments were given by inspiration of God, and are the only sufficient, certain, and authoritative rule of all saving knowledge, faith, and obedience.
4. PROVIDENCE
God from eternity decrees or permits all things that come to pass, and perpetually uphold, directs, and governs all creatures and all events; yet so as not in any wise to be the author or approver of sin nor to destroy the free will and responsibility of intelligent creatures.
5. ELECTION
Election is God's eternal choice of some persons unto everlasting life-not because of foreseen merit in them, but of His mercy in Christ-in consequence of which choice they are called, justified, and glorified. God's election is based upon His foreknowledge of man's free response to His grace.
6. THE FALL OF MAN
God originally created man in His own image, and free from sin; but, through the temptation of Satan, he transgressed the command of God and fell from his original holiness and righteousness, whereby his posterity inherits nature corrupt and wholly opposed to God and His law, and under condemnation, and, as soon as they are capable of moral action, become transgressors.
7. THE MEDIATOR

Having taken upon Himself human nature, yet without sin, -He perfectly fulfilled the law, suffered and died upon the cross for the salvation of sinners. He was buried and rose again the third day and ascended to. His father, at whose right hand He ever liveth to make intercession for His people. Christ is coming to earth again to claim His bride, the Church, and to execute judgment upon the earth.

8. REGENERATION
Regeneration is a change of heart, wrought by the Holy Spirit, who quickeneth the dead in trespasses and sins, enlightening their minds spiritually and savingly to understand the Word of God, and renewing their whole nature, so that they love and practice holiness. It is a work of God's free and special grace alone.
9. REPENTANCE
Repentance is an evangelical grace wherein a person, being by the Holy Spirit made sensible of the manifold evil of his sin, humbleth himself for it, with godly sorrow, detestation of it, and self-abhorrence, with a purpose and endeavor to walk with God so as to please Him in all things.
10. FAITH
Saving faith is the belief, on God's authority, of whatsoever is revealed in His Word concerning Christ, accepting and resting upon Him alone for justification; sanctification, and eternal life. It is wrought in the heart by the Holy Spirit, and is accompanied by all other saving graces, and leads to a life of holiness.
11. JUSTIFICATION
Justification is God's gracious and full acquittal of sinners who believe in Christ from all sin, through the satisfaction that Christ has made, not for anything wrought in them or done by them, but on account of the obedience and satisfaction of Christ, they receiving and resting on Him and His righteousness by faith.
12. SANCTIFICATION
Those who have been regenerated are also sanctified by God's Work and Spirit dwelling in them. This sanctification is progressive through the supply of divine strength, which all saints seek to obtain, pressing after a heavenly life in cordial obedience to all Christ's commands.
13. PERSEVERANCE OF THE SAINTS
Those whom God hath accepted in the Beloved, and sanctified by His Spirit, will never totally nor finally fall away from the state of grace, but shall certainly persevere to the end; and, though they may fall, through neglect and temptation, into sin, whereby they grieve the Spirit, impair their graces and comforts, bring reproach on the church, and temporal judgments on themselves, yet they shall be renewed again unto repentance and. be kept by the power of God through faith unto salvation.
14. THE CHURCH
The Lord Jesus is the Head of the church, which is composed of all His true disciples, and in Him is invested supremely all power for its government. According to HIs commandment, Christians are to associate themselves into particular churches; and to each of these churches He hath given needful authority for administering that order, discipline, and worship which He hath appointed. The regular officers of a church are Pastor and Deacons.
15. BAPTISM
Baptism is an ordinance of the Lord Jesus, obligatory upon every believer, wherein he is immersed in water in the name of the Father and of the Son and of the Holy Spirit, as a sign of his fellowship with the death and resurrection of Christ, of remission of sins, and of his giving himself up to God, to live and walk in newness of life. It is prerequisite to church membership.
16. THE LORD'S SUPPER
The Lord's Supper is an ordinance of Jesus Christ, to be administered with the elements of bread and wine, and to be observed by His churches until His return. It is in no sense a sacrifice, but is designed to commemorate His death, to confirm the faith and other graces of Christians, and to be bond, pledge, and renewal of their communion with Him and of the church fellowship.
17. THE LORD'S DAY
The Lord's Day is a Christian institution for regular observance and should be employed in exercise of worship and spiritual devotion, both public and private, resting from worldly employments and amusements, works of necessity and mercy only excepted.
18. LIBERTY OF CONSCIENCE
God alone is Lord of the Christian conscience, and He hath left it free from the doctrines and commandments of the men which are in anything contrary to His Word, or not contained.in it. Civil magistrates being ordained of God, subjection in all lawful things commanded by them ought to be yielded by us in the Lord, not only for wrath, but also for conscience sake.
19. THE RESURRECTION
The bodies of men after death return to dust, but their spirits go into eternity -the unsaved to hell (hades) and the saved into the presence of Christ. Then, at God's appointed time, the bodies of the dead will be raised, the righteous unto to resurrection of life and the unrighteous unto the resurrection of damnation.
20. THE JUDGMENT
God hath appointed a day wherein He will judge the world by Jesus Christ. Those whose names are not found in the Lambs Book of Life will be consigned to everlasting punishment, and the righteous will be ever with the Lord in heaven.
CONSTITUTION AND BY-LAWS
COVENANT
Having been led, as we believe, by the Spirit of God to receive the Lord Jesus Christ as our Savior, and on the profession of our faith, having been baptized in the name of the Father, and of the Son, and of the Holy Ghost, we do now; in the presence of God, angels, and this assembly, most solemnly and joyfully enter into covenant with one another, as one body in Christ.
We engage, therefore, by the aid of the Holy Spirit, to walk together in Christian love; to strive for the advancement of this church in knowledge, holiness, and comfort; to promote its prosperity and spirituality; to sustain its worship, ordinances, discipline and doctrines; to give it a sacred pre-eminence over all institutions of human origin; to contribute cheerfully and regularly to the support of the ministry, the expenses of church, the relief of the poor, and the spread of the gospel through all nations;
We also engage to maintain family and secret devotion; to religiously educate our children; to seek the salvation of our kindred and acquaintances; to circumspectly in the world; to be just in our dealings, faithful in our engagements, and exemplary in our deportment; to avoid all tattling, backbiting, and excessive anger; to abstain from the sale and use of intoxicating drink as a beverage, and to be zealous in our efforts to advance the kingdom of our Savior.
We further engage to watch over one another in brotherly love; to remember each other in prayer; to aid each other in sickness and distress; to cultivate Christian sympathy in feeling and courtesy in speech; to be slow to take offense, but always ready for reconciliation, arid mindful of the rules of our Savior, to secure it without delay.
We moreover engage that when we remove from this place we will, a soon as possible, unite with some other church, where we can carry out the spirit of this covenant and the principles of God's Word.
This covenant shall be read before the church periodically.
We as well engage to reaffirm that marriage is between one man and one woman within the institution of New Testament marriage; while recognizing that homosexuals are persons whom the redeeming love of Christ is available; and furthermore affirm that gender is determined by God at conception and is eternal.
ARTICLE I - Name
The name of this church shall be The Cook Memorial Baptist Church, of Pineville, West Virginia.
ARTICLE II- Purpose and Affiliation
The purpose of the church shall be to maintain public services for the worship of God and the teaching an4 preaching of the Gospel of Jesus Christ; to win people to Christ and to bring them into active membership in the church, that they may grow in the grace and knowledge of Christ; to associate ourselves closely with all Christians in the in the common task of building His kingdom in the hearts and lives of men everywhere.
SECTION. 1. This government of this church shall reside 'in the body which composes its membership and will be governed by and with the consent of its membership of legal voting age, each of whom shall have equal rights as to voice and vote, without preference one over another.
SECTION 2. Affiliation. The church shall be affiliated with the Rockcastle Association, the West Virginia Baptist Convention, and the American Baptist Churches.
ARTICLE III-Authority
This church receives the New Testament as an all-sufficient basis of doctrines and practice. It reaffirms its complete belief and trust in, and its, adherence to, the principles of Christian doctrine.
ARTICLE IV – Membership
SECTION 1. Membership into this church shall be:
A) By Baptism. Any person professing faith in Jesus Christ as his personal Savior and declaring his purpose to live a Christian life, who is in substantial agreement with the Baptist doctrine, may be received by the church, be received for baptism and membership.
B) By Letter. Persons having letters of dismissal from other churches, if they have been baptized by immersion, and who are in. substantial agreement with Baptist doctrine, may be received upon acceptance of such letter by vote of the church.
C) By Christian Experience. Persons who give evidence of conversion and have been baptized by immersion, and who are in substantial agreement with Baptist Doctrine and, for justifiably reasons, are unable to produce letters of dismissal from their former church may upon statement of their Christian experience and renewal of their covenant, be received into membership by vote of the church.
SECTION 2. Dismissal from this church shall be:
(A)By Letter. A member may be dismissed to the fellowship of another Baptist church by letter of recommendation, and should the name of the member be carried on a list of the inactive, the letter shall so state.
{B) By Dropping the Name from the Roll. Should a member wish to unite with some other denomination, he may be granted a letter of Christian character.
(C)By Erasure. A member's name may be removed from the church roll for having been delinquent in covenant obligations only after his name shall have been on an inactive list for one year. After such time, the name may be removed by a vote of the church but shall remain on the church record. An individual may request dismissal from the church roll. Upon the recommendation of the Board of Deacons and approval by vote of the church, the name will be removed.
ARTICLE V - The Pastor
SECTION I. Call. Upon recommendation of Pulpit Committee, a Pastor shall be called whenever there is a vacancy in the pastorate. This committee shall investigate the merits of the person under consideration in regard to his personal character, education, ministerial record, preaching abilities, general executive and administrative abilities, and fitness for the pastorate.
The call of a Pastor shall come before the church for vote at a meeting called for that purpose, and only one candidate for the pastorate shall be presented to the church at one time. The voting procedure shall be determined by the Deacon Board and Pulpit Committee. The terms of his salary, vacation, and other considerations shall be determined by the Deacon Board.
The pastorate will be terminated by the death, resignation, or dismissal of the Pastor. It may be terminated upon thirty (30) day’s notice on the part of the Pastor or the church, or for such period as may be mutually agreed upon between the Pastor and the Deacon Board. However, if a controversy arises, the vote of the Deacon Board will determine the time of his dismissal.
SECTION 2. Duties. The Pastor shall be the spiritual leader of the church. He shall preach the Gospel of Jesus Christ, administer the Ordinances, watch over and shepherd the membership, and have in his charge the spiritual welfare of the congregation and the stated services of public worship; he shall be an ordained Baptist minister; he shall be a believer in and a preacher of the Gospel and of the basic doctrines as held by the Baptist faith; he shall cooperate with the Rockcastle Association, the West Virginia Baptist Convention, and the
American Baptist Churches: and he shall be the Moderator of the church and an ex-officio member of every board and committee of the church.
ARTICLE VI - Staff Members
SECTION 1. The staff members of this church, in addition to the Pastor, shall be composed of the following:

The staff members’ duties shall be determined by their job descriptions.
SECTION 2. The Executive Committee may delegate, merge, consolidate, or divide the offices and duties of the staff members. It shall recommend to the church, through the Board of Deacons, the additions of new staff members as the business of the Church may require, and it shall recommend the salaries and conditions of employment of any such additional staff members. Any creation of additional staff members shall be submitted to the church for ratification at a business meeting specifically called for that purpose, with due notice given the congregation through the church bulletin.
SECTION 3. Director of Music. The Executive Committee shall recommend to the Board of Deacons a candidate to fill the office of Director of Music and shall recommend the terms and conditions of his/her employment, subject to the approval of the church. The duties of the Director of Music will be terminated by death, resignation, or dismissal. It may be terminated upon thirty(30) days notice on the part of the Director-of Music or the church, or for such period as may be mutually agreed upon.
SECTION 4. Church secretary. The Church Secretary shall be selected by the Executive Committee and recommended to the Board of Deacons, subject to the approval of the church. The terms and conditions of his/her employment shall be the responsibility of the Executive Committee. He/she shall compile and edit church bulletins and publications and serve as secretary to the Pastor. The Church Secretary and stenographic assistants shall be under the direction and supervision of the Pastor and Executive Committee.
SECTION 5. Custodians. The Executive Committee shall select and recommend to the church, through the Board of Deacons, the Church Custodian, and assistants. Their salary and other benefits shall be enumerated at the time of their employment by the Executive Committee, to whom they shall be responsible.
SECTION 6. Nursery 'Coordinator. The Executive Committee shall select and recommend to the church, through the Board of Deacons, The Nursery Coordinator. He/She shall work with the Nursery Committee to provide for the Church nursery during all worship services. The terms and conditions of his/her employment shall be the responsibility of the Executive Committee.
ARTICLE VII. - General Officers
SECTION I. The officers of the church shall be as follows:

All officers must be members in good standing elected annually by the church upon the recommendation of the general Nominating Committee, with the exception of the President of the American Baptist Women and the President of American Baptist Men.
SECTION 2. Church Clerk. The Church Clerk shall keep a permanent record of all business meetings of the church, sign all letters of dismissal, send all letters of transfer, and maintain a register of members. The Clerk shall enter upon the records any current event pertaining to the history of the church.
SECTION 3. Church Treasurer. The Church Treasurer shall receive all offerings belonging to the church, oversee all deposits, and co-sign with the Financial Secretary, all checks. He/She shall serve as an ex-officio member of the Finance Committee.
SECTION 4. Financial Secretary. The Financial Secretary shall keep a record of all offerings, deposits, and disbursements. He/She shall cosign, with the Treasurer, all checks and will serve as an ex-officio member of the Finance Committee.
SECTION 5. President of the American Baptist Men. The President shall be the executive officer of the American Baptist Men, giving it supervision, guidance, and counsel. He is to be elected by the American Baptist Men and approved by the church. He then becomes an ex-officio member of the general Nominating Committee to bring to them recommendations for the American Baptist Men officers.
SECTION 6. President of the American Baptist Women. The President shall be the executive officer of the American Baptist Women, giving it supervision, guidance, and counsel. She is to be elected by the American Baptist Women and approved by the church. She then becomes an ex-officio member of the general Nominating Committee to bring to them recommendations for the American Baptist Women officers.
SECTION 7. Sunday Church School Superintendent. The Superintendent shall be the executive officer of the Sunday Church School, giving it supervision, guidance, and counsel, for a term of one (1) to three (3) consecutive years and not to exceed three (3) years. He/She becomes, upon his/her election by the church, an ex-officio member of the general Nominating Committee to bring to them recommendations for the Church School officers and teachers, after they have been approved by the Board of Christian Education.
SECTION 8. Baptist Youth Fellowship Directors. The Directors shall be executive officers of the Baptist Youth Fellowship, giving supervision, guidance, and counsel.
SECTION 9. Librarian. The Church Librarian shall be responsible for the selecting and purchasing of materials and maintaining the library. Materials selected for the church library shall be approved by the Pastor.
ARTICLE VIII- Boards
SECTION I. The Church Boards shall consist of the following:

Board of Christian Education
Board of Trustees
SECTION 2. Board of Deacons. This Board shall be composed of not less than seven (7) devout men of the church. The Board shall have spiritual oversight of the church, aid the pastor in the performances of his duties and administrations of the church ordinances, control the spiritual use of the church property, and provide private Christian instruction and ministry to the church membership. The Board shall elect its own chairman, vice chairman, and secretary. The chairman of the Board of Deacons shall serve as Associate Moderator of the church. The Board shall meet regularly once each month to consider such matters as may be brought to its attention. Special meetings of the Board of Deacons may be called by the chairman or the Pastor.
When the need for additional Deacons is determined by the Deacon Board, names will be submitted by the church. These names shall be approved by the Deacon Board and submitted to an investigation committee within the Deacon Board who determine which nominees best meet the qualifications of a deacon. Those names selected shall be approved by the Deacon Board and then submitted to the church for final approval; after that, they may be ordained at such time as determined by the Deacon Board. If a Deacon desires to become inactive, he must submit a letter so stating and his reasons therefore to the Deacon Board. An inactive Deacon who wishes to become an active Deacon again must submit a written request to the Deacon Board. An active Deacon will be put on an inactive list after being absent from three (3) consecutive, regularly scheduled Deacon meetings, unless there was a good reason. This Deacon must be visited by members of the Deacon Board prior to being put on this list.
SECTION 3. Board of Trustees. This Board shall be composed of five (5) members. The Board shall elect its own chairman. The Trustees shall hold title to all church property in accordance with the laws of the State of West Virginia governing the encumbering or selling of such property. This Board shall be the general overseer of all church property, including any additions, renovations, and use of the building.
The Board shall be composed of five (5) members elected for three (3) year terms (with no consecutive term limitations). The chairman of the Deacon Board shall serve as an ex-officio member of this Board. Each trustee shall have demonstrated Christian character and responsibility in handling his own business affairs.
SECTION 4. Board of Christian Education. The Board shall be composed of nine (9) members as follows:

The Board shall also include the following ex-officio members:

Two members at large shall be elected by the church, upon recommendation by the church (upon recommendations from the Nominating Committee): from the active Sunday School membership, one of which must come from the Children's Department.
The chairman of this Board, with the approval of the Pastor, shall be presented to the church by the general Nominating· Committee at the same time the general officers are nominated in order that he may aid in 'the' selection of other nominees to this Board. The Board shall assist in the selection of officers and teachers according to the Standard for Teachers and plan and carry out the entire educational program of the church and shall meet monthly. Any other nominee to this Board may be elected as considered necessary.
SECTION 5. Board of Missions. There shall be a Board of Missions consisting of five (5) members selected by the Pastor and recommended for the church's approval by the Nominating Committee to serve a two-year term. The Board of Missions will select their Chairman. It shall be the duties of the Board to promote missionary interest and support, to coordinate missionary education activities, to recommend amount of payment (goals) to missions as part of our budget and help lead the church in matters of Christian social concerns.
ARTICLES IX – Committees
SECTION I. The church committees shall consist of the following:

SECTION 2. Nominating. The Nominating Committee shall be composed of six (6) members elected annually by the church on the first Wednesday of September. This committee shall be selected as follows:
One member selected by the Board of Deacons, one member selected by the Board of Christian Education, one member selected by the Finance Board, and three members at large selected by the church. This committee shall present and recommend to the church, persons to fill all offices of the church, no later than the annual meeting, to fill vacancies occurring during the ensuing year.
SECTION 3. Executive. The Executive Committee shall be composed of the following church organizational heads:

Three (3) Members from the Church at Large
The members from the church at large shall be elected by the church upon the recommendation of the Nominating Committee. The Committee shall elect a chairman and secretary and shall hold meetings at such times as it may determine. The duties and responsibilities of the committee shall be as follows: To act as a general personnel committee relative to staff members, to try to resolve all questions of a controversial nature, and to formulate the annual church calendar of activities.
In the event that husband and wife, by virtue of their offices should be on the Executive Committee, then one of them shall be replaced by the vice chairman of their committee.
SECTION 4. Finance. The Finance Committee shall be composed of five (5) members. One or two will be elected annually for a term of three (3) years upon the recommendation of the Nominating Committee. No member who has served a full term shall be eligible for re-election until one year has elapsed. The Church Treasurer, the Chairman of the Trustees Board, and the Chairman of the Board of Deacons shall be ex-officio members; the Financial Secretary also shall be an ex-officio member, serving this committee as secretary. The Committee shall elect its own chairman. It shall recommend to the church at the annual business meeting a proposed budget of anticipated receipts and expenditures covering all the regular work of the church for the coming year. This committee shall supervise the allocation of monies designated by the budget as approved by the church. It shall have supervision over the purchasing system and shall have the books audited annually. The Finance Committee must have the approval of the church before the expenditure of any amount over one thousand dollars ($1,000) for items not set fourth in the church budget except in an emergency situation which is for the safety and wellbeing of the church property and personnel. This committee shall meet monthly.
SECTION 5. Pulpit. When a vacancy shall occur in the pastorate of the church, The Executive Committee shall recommend, through the Board of Deacons, to the church for its approval, a Pulpit Committee of seven (7) members who shall serve until a Pastor shall be regularly installed or until they are replaced by the church. No candidate for the pastorate shall be considered unless recommended by the Pulpit Committee. Another candidate shall no be considered until disposition has been made concerning the one already before the Pulpit Committee. This committee shall give one week notice to the congregation before the candidate shall preach to the church by an announcement at the regular church service.
SECTION 6. Usher and Greeting. The Usher and Greeting Committee shall be responsible for providing adequate ushers for each regular and special worship service and shall record the attendance of all services. It shall consist of a chief usher and three (3) associates who are elected by the church, upon recommendation of the Nominating Committee. This committee will enlist a state of ushers to serve.
SECTION 7. Constitution. The Constitution Committee shall consist of five (5) members chosen by the Nominating Committee each year to be presented to the church for approval. This committee is to protect and defend the Constitution of Cook Memorial Baptist Church. If at any time this committee agrees it is necessary for any changes or restructuring of the constitution, then this committee should go before the church to request that two (2) additional members be chosen to work with the Constitution Committee, making a total of (7) members. This Constitution Committee shall meet quarterly.
SECTION 8. Outreach. The Outreach Committee shall consist of five (5) members: The Chairman of the Board of Christian Education; a Deacon; and three (3) at large members chosen by the Nominating Committee. The Outreach Committee will be tasked with keeping the church body informed of local and county wide events in which the church could participate, and also be tasked with keeping the church visible in the community and coordinating sch efforts.
SECTION 9. Special. Special committees may be established by the church as needed.
ARTICLE X - Meetings
SECTION 1. Annual Business Meeting. The annual business meeting of the church shall be held on the Wednesday following the first Sunday of the month of December.
SECTION 2. Quarterly Business Meetings. The quarterly business meetings shall be held on the WEDNESDAY FOLLOWING TIIE CLOSE OF EACH QUARTER. A summary report from the general church officers shall be made orally at the quarterly business meeting.
SECTION 3. Special Business Meetings. Special meetings of the church may be called by the Pastor or Chairman of Deacons as the need may arise.
SECTION 4. Quorum. A quorum for any business of the church shall be comprised of twenty (20) members. A majority vote shall be required on all issues except the call of a Pastor, when a seventy-five per cent (75%) vote shall be required. The quorum can be achieved with members attending virtually, not voting by proxy shall be allowed.
ARTICLE XI-Ordinances of the Church
SECTION 1: Baptism. The ordinance of baptism shall be administered by the Pastor of the church as such time as it is suitable to the Pastor and the candidates.
SECTION 2. The lord’s Supper. On the first Sunday of each quarter the ordinance of the Lord’s Supper shall be observed. This ordinance may be administered more often as the church and Pastor deem fitting.
ARTICLE XII-Adoption and Amendment
SECTION 1. Adoption. This Constitution shall become effective when adopted by the church. All persons holding office on the effective date of this Constitution shall continue in office until new officers are elected as provided herein.
SECTION 2. Amendment. This Constitution may be amended at any regular business meeting of the church or any special business meeting called for that purpose, provided two weeks notice be given to the congregation by any announcement in the church bulletin.
SECTION 3. Order of Business. The latest available edition of Roberts Rule of Order shall be used as guide in all matters of parliamentary procedure when such is not in conflict with the Constitution and By-Laws of this church.
